This End-User License Agreement (referred to as the "EULA") is a legally binding agreement between the End User (Licensee) and the University of Birmingham, Tel Aviv University, and the University of Valencia (Licensors), who are joint owners of the intellectual property rights in the CPAT software tool (the Works), which may include associated media, printed materials, and online or electronic documentation. This Agreement is a legally binding contract that includes terms that limit the Licensee legal rights and Licensors' liability to the Licensee and shall govern all access to and use of this Software. You hereby agree, without limitation or alteration, to all the terms and conditions contained herein.
1. The Licensor hereby grants the Licensee a royalty free, non-exclusive license to use the Works only for the Licensee’s purposes.
2. For the avoidance of doubt the Licensee is not permitted to sell the Works or make any direct monetary gains from their use (be it in their current form or as part of another product, resource or set of materials).
3. The Licensee will:
- 3.1.1 not sub-licence the Works without the Licensors’ prior written permission;
- 3.1.2 not amend the Works in any way without the Licensors’ prior written permission;
- 3.1.3 include a statement on the Works at all times acknowledging the owners of the Works.
- 3.1.4 always use the most up to date version of the Works.
4. Licensor expressly disclaim any warranty for the Works and all applicable documentation is provided as-is, without warranty of any kind, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Accordingly, the Licensee accepts any risk arising out of the use or performance of the Works.
5. The Licensee hereby agrees to indemnify and hold Licensor harmless from and against all liabilities, damages, losses or expenses, including but not limited to reasonable attorney or other professional fees in any claim, demand, action or proceeding initiated by any third-party against Licensor, arising from any of your acts, including without limitation, violating this EULA or any other agreement or any applicable law.
6. The End User Agreement is subject to English law and the English courts shall have exclusive jurisdiction. A person who is not party to this Licence has no rights under it. This Licence constitutes the entire agreement between the parties. If any provision of the Licence is or becomes invalid, illegal or unenforceable, it shall be deemed deleted to the minimum extent necessary to make it valid, legal and enforceable.
